This document accurately describes how the platform operates, and covers the clauses commonly expected in B2B supply terms. It has not been reviewed by a lawyer and is not drafted against Nepali contract, consumer or data-protection law. Publishing it does not limit legal liability. Have it reviewed, adjust it to your actual business practices, and remove this notice.
1. Who these terms apply to
Milaan Enterprises supplies goods on a wholesale basis to businesses — retailers, wholesalers and online sellers. We do not sell to consumers.
By requesting or holding an account you confirm that you are acting for a business, that you are authorised to bind that business, and that you are buying for resale or business use rather than personal consumption.
2. Accounts and approval
Accounts must be approved before orders can be placed. We may decline, suspend or close an account at our discretion, including where information provided is inaccurate.
You are responsible for keeping your login details secure and for all activity under your account. Tell us promptly if you believe your account has been accessed without authorisation.
3. Pricing
Wholesale prices are visible only to approved accounts and depend on the price tier assigned to your business.
The price applied to an order is the price captured at the moment the order is placed. Prices may change for future orders without notice.
Unless stated otherwise, prices are in Nepalese Rupees and exclude applicable taxes, duties and delivery charges.
Obvious pricing or description errors are not binding. Where an error is identified we will contact you to confirm or cancel the order before it is dispatched.
4. Minimum order quantities
Each product carries a minimum order quantity, shown on its listing. Orders below that quantity cannot be placed. A minimum order value may also apply and, where it does, is shown at checkout.
5. Orders, stock and acceptance
An order is an offer to buy until we confirm it. Our confirmation forms the contract between us.
Placing an order reserves stock. Where stock proves insufficient we will contact you to adjust or cancel the affected lines.
Orders may be edited while in draft. Once placed, changes must be requested from us directly.
6. Payment
Payment terms are agreed with your account and confirmed on your order or invoice. Where credit terms apply, invoices are payable by the date stated.
We may suspend deliveries or ordering on an account with overdue amounts. Title in goods passes to you on full payment.
7. Delivery
We deliver across Nepal. Delivery dates are confirmed when the order is confirmed and are estimates unless expressly stated otherwise.
Risk in the goods passes to you on delivery. You are responsible for providing accurate delivery details and for someone being available to receive the goods.
8. Inspection, shortages and defects
Please inspect goods on delivery. Shortages, damage or obvious defects should be reported to us within 7 days of delivery, with your order number and photographs.
Goods are inspected before dispatch. Where a claim is accepted we will, at our option, replace the goods or credit the value.
We are not responsible for damage caused by mishandling, improper storage, or normal wear after delivery.
9. Cancellation and returns
Orders may be cancelled before dispatch. Once dispatched, cancellation is not available and any return is at our discretion.
Because we supply businesses rather than consumers, statutory consumer cancellation rights do not apply to these sales.
10. Intellectual property
The Milaan Enterprises name, logo, site content and product imagery remain our property or that of our licensors. You may use them to advertise goods bought from us, but not in a way that suggests endorsement or partnership beyond a supply relationship.
11. Acceptable use
You must not misuse the website or app, attempt to access accounts or data belonging to others, interfere with their operation, or extract data by automated means without our written permission.
12. Liability
Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
Subject to that, we are not liable for loss of profit, loss of business, loss of anticipated savings, or any indirect or consequential loss.
Subject to the above, our total liability in connection with any order is limited to the amount paid for that order.
13. Events outside our control
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including customs delays, transport disruption, strikes, natural events, or supplier failure. Where such an event continues, either party may cancel the affected order.
14. Governing law and disputes
These terms are governed by the laws of Nepal, and the courts of Nepal have exclusive jurisdiction over any dispute arising from them.
We would rather resolve problems directly. Please contact us first so we can try to settle the matter before any formal step is taken.
15. General
If any provision is found unenforceable, the remainder continues in force. Our failure to enforce a term is not a waiver of it.
These terms, together with your order confirmation, form the entire agreement between us for that order.
We may update these terms. The version in force is the one published on this page when your order is placed.
